What is the difference between and amendment and addendum and how are they used?

  • An addendum or amendment may be incorporated at either the MSA or SOW level. 
  • An addendum is typically required when a client or Richardson would like to add additional terms to an existing contract.  An amendment is required when the parties are requesting something to be revised or removed from the original contract.
  • When an addendum or amendment is made at the SOW level, a new Sales Order in NetSuite is created.  The contracting reference will say Amendment # or Addendum # to the SOW #.  The Parent Sales Order will be linked within the Sales Order. An example of an addendum for Lexmark below:
